Scope of Work 1.1 Services: The Subcontractor agrees to perform drylining and related services as outlined in each specific project plan or as instructed by the Company. 1.2 Instructions: The Subcontractor shall complete all work in accordance with the Company’s specifications and instructions. Failure to adhere to these instructions may result in the termination of this Agreement. 2. Performance Standards 2.1 Quality Commitment: The Subcontractor agrees to execute all work to a professional standard, maintaining quality and efficiency at all times. The work must meet industry standards and be free of defects. 2.2 Performance Commitment: The Subcontractor is expected to complete tasks efficiently and diligently, striving to meet the agreed-upon timelines and quality requirements. If at any time, the Company deems the Subcontractor’s performance inadequate, a formal corrective action process may be implemented. 3. Corrective Action 3.1 Repair Obligations: Should any work be found defective, incomplete, or not up to the agreed-upon standards, the Subcontractor is required to rectify these issues at their own expense within 7 days. 3.2 Non-Compliance: Failure to make required corrections may lead to the immediate termination of this Agreement, and any payments due will be withheld until the work is corrected to the Company’s satisfaction. 4. Payment Terms 4.1 Payment Upon Approval: Payment to the Subcontractor shall be made upon completion of the work and after inspection and approval by the Company. Payments may be withheld for any unsatisfactory work until corrections are made. 4.2 Withheld Payments: In cases where the Subcontractor fails to meet quality standards, perform repairs, or follow instructions, the Company reserves the right to withhold payment until all issues are resolved to its satisfaction. 5. Termination 5.1 Termination for Cause: The Company reserves the right to terminate this Agreement if the Subcontractor fails to meet performance standards, does not follow instructions, or refuses to rectify mistakes. Termination may occur immediately upon written notice to the Subcontractor. 5.2 Effect of Termination: Upon termination, any outstanding payments may be withheld if work quality does not meet the required standards, as assessed by the Company. 6. General Provisions 6.1 Independent Contractor: Nothing in this Agreement shall be construed to create an employer-employee relationship between the Company and Subcontractor. 6.2 Entire Agreement: This Agreement contains the entire understanding between the parties.
